NAB Wholesale Investor Register

Joining the NAB Wholesale Investor Register gives you access to investment opportunities available only to those investors who qualify as Wholesale clients.

Who are Wholesale clients?

The term Wholesale client is used to describe investors who meet the criteria of a Wholesale client under the Corporations Act 2001. A client who meets the financial criteria specified in the Corporations Act and applies to be included as a Wholesale client in the NAB Wholesale Investor Register may be required to evaluate offers of securities and financial products without the usual protection of regulated disclosure documents such as Product Disclosure Statements (PDS). Placements and unlisted corporate bonds are issued only to Wholesale clients.

To qualify as a Wholesale client, individuals and entities can qualify as one of the investor types outlined below:

1. Professional investor - Demonstrate that you have or control gross assets totalling $10 million or more (self-certification)

OR

2. Sophisticated investor - provide a certificate from your accountant confirming that you have: 

  • Net assets of at least $2.5 million; or
  • Gross income of at least $250,000 per year for the last two financial years.

What are the risks?

Registration in the NAB Wholesale Investor Register enables us to regard you as a Wholesale client for any investments you make. We will not be required to provide you with retail disclosures such as Product Disclosure Statements. Wholesale clients may also have limited access to complaint resolution processes including the Australian Financial Complaints Authority.

By being accepted to the NAB Wholesale Investor Register, you acknowledge that you are capable of making investment decisions without the same protections as retail clients.
